Introduction

This Expert Agreement ("Agreement") is between Seersite LLC ("Company," "Network," "Marketplace Platform," or "Platform") and an authorized Seersite User ("Expert," "You," or "User") who desires to participate in the Seersite Network and Marketplace Platform.

Seersite is a professional Network and Marketplace Platform that connects Users to share, exchange, sell, and buy:

  • Content, opinions, knowledge, ideas, insights, trends, and observations related to intellectual pursuits, professions, careers, education, or areas of expertise.


A. Platform Functionalities

  1. The Seersite Network operates as a neutral Marketplace Platform for Clients and Experts to buy and sell products and services.

  2. Experts:

    • Vetted Users who have successfully created a Professional Profile on the Platform and completed a compliance questionnaire.

  3. By creating a Professional Profile, you confirm:

    • Significant expertise in your industry or area of knowledge.

    • You have read and agreed to the Terms of Use Agreement (incorporated into this Agreement). Review the Terms HERE.


B. Products and Services

  1. Signing this Agreement makes you available to Clients and Users who may purchase products and services related to your expertise.

  2. Clients can book:

    • Expert Sessions: One-on-one scheduled live audio calls.

    • Panels: Typed inquiries sent to multiple Experts for written responses.


C. Fees

  1. You act as a customer, buyer, or seller on the neutral Marketplace Platform.

  2. Setting Rates:

    • Experts set their own fees for Sessions, Panels, and other services.

    • Seersite charges a percentage of your rate to cover administrative costs.

  3. Seersite’s fees exclude taxes, levies, duties, or similar assessments (e.g., value-added or sales tax).

  4. No Additional Compensation:

    • Only fees clearly stated and agreed upon in Booking forms are allowed.


D. Legal Compliance

  1. You are responsible for your professional conduct while participating on the Platform.

  2. Key Commitments:

    • Avoid breaching any duty, obligation, or agreement owed to employers or others.

    • Do not disclose confidential, proprietary, material, or non-public information (MNPI).

    • Understand and avoid violating insider trading prohibitions under securities laws.

    • Comply with all applicable laws, policies, and contractual restrictions.

  3. Government Officials:

    • If you are a government official or employee, you cannot participate in Sessions or Panels related to matters you control (e.g., legislation, policy, contracts).

  4. Conflict of Interest:

    • Avoid projects involving companies with significant relationships (>5% of revenue) with your employer.

E. Consent

  1. Consent to Communication:

    • Seersite may contact you for account administration, compliance, or Platform activities.

  2. Recording and Transcription:

    • You consent to Seersite attending, recording, and transcribing Expert Sessions and Panels for:

      • Compliance, training, verification, and peer review.

    • You can withdraw consent by canceling the booking or contacting [email protected].

  3. Sharing Recordings:

    • Recordings and transcripts may be shared with Clients, Seersite staff, or for compliance purposes.


F. Intellectual Property

  1. All Seersite content, logos, trademarks, and intellectual property are protected by law.

  2. Prohibited Activities:

    • Scraping, bots, phishing, or unauthorized use of Platform content.

    • Using Platform content to develop artificial intelligence applications without consent.

  3. Breach Consequences:

    • Seersite may seek injunctive relief or other legal remedies for intellectual property violations.


G. No Conflicts

  1. Do not participate in any Platform-related activity if bound by agreements or obligations that could cause a conflict.

  2. Your participation must not create conflicts of interest with other entities.


H. Customer Relationship

  1. Independent Role:

    • You are a customer, buyer, or seller on a neutral Marketplace Platform.

    • You are not an employee, agent, or representative of Seersite.

  2. Separate arrangements (e.g., independent consulting) must be governed by a different agreement.


I. Transactions

  1. You act as a seller in an arm’s-length transaction, with Seersite as a neutral platform.

  2. No additional compensation or value can be exchanged outside of Booking forms and agreed terms.


J. Privacy

  1. Information Collected:

    • Personal identifying information (PII), such as name, email, phone number, LinkedIn details, resume, etc.

  2. Usage:

    • For account administration, transactions, and Platform activities.

    • PII may be shared with third-party providers for tasks like security, background checks, or audits.

  3. Seersite does not use cookies or sell PII to third-party marketers.


K. No Warranties and Limitations of Liability

  1. Disclaimer:

    • All services are provided "as is," with no implied warranties.

    • Liability is limited to $100 or the amount paid to Seersite in the past 12 months.


L. Other Provisions

  1. This Agreement supersedes conflicting terms in any other agreement or platform-related documents.

  2. Severability:

    • Invalid terms will be amended or severed without affecting the rest of the Agreement.

  3. Non-Transferable Rights:

    • You may not transfer rights or obligations under this Agreement without written consent.
