Introduction
This User Agreement ("Agreement") is between Seersite ("Company," "we," or "us") and you ("User") for the use of the Seersite Platform ("Platform"). By accessing or using the Platform, you agree to comply with this Agreement and all applicable laws, rules, and regulations.
Seersite is a professional network and marketplace where Users connect to share, exchange, sell, and buy:
Content, opinions, knowledge, insights, trends, and expertise related to intellectual pursuits, professions, careers, or education.
The Platform includes:
Professional Network: Interact and share with other Users.
Expert Marketplace: Offer, sell, and buy content and services. Seersite provides tools and charges a Marketplace fee but does not endorse or guarantee any transactions.
Knowledge Library: Access subscription-based content, including transcriptions and supplemental licensed materials.
1. Definitions
User Account: Your login credentials and basic account details (e.g., email, location).
Professional: A User with a Professional Profile to share expertise.
Professional Content and Expertise: Professional insights, knowledge, and content related to a User's intellectual pursuits or work experience.
Non-Professional Content: Personal or unrelated content (e.g., social, health, or charity-related) unless relevant to expertise.
Posts (Insights/Works): Professional Content shared on the Platform.
Expert: A Professional approved to offer Expert Products and Services.
Client: A User approved to purchase Expert Products and Services.
Session: A live consulting service offered by an Expert.
Kodex Panel: A written inquiry format where Experts respond to Client questions.
2. Profile Creation & Review
Account Setup:
Create a User Account and Profile. Profiles are subject to Seersite review.
Approval as a Professional or Client grants access to respective activities.
Accuracy and Verification:
Provide truthful, relevant, and up-to-date information.
Seersite may verify credentials, employment, education, and public records.
Consent to Verification:
By using the Platform, you consent to identity verification and potential background checks.
Peer review may validate the accuracy of your Professional Profile and content.
Representation:
You confirm you have not been involved in legal proceedings (fraud, perjury, bribery) in the past five years.
3. Character of Relationships
Independent Role:
You are not a Seersite employee, agent, or partner.
You act in an independent, individual capacity at all times.
4. User Duties
Appropriate Use:
Use the Platform for its intended purpose and avoid unlawful or harmful actions.
Content Guidelines:
Only post Professional Content. Non-Professional Content may be removed.
Attribute content to the original creator when referencing another User’s work.
Account Security:
Prevent unauthorized access to your Account and promptly report any breaches.
5. No Guarantee
Platform Integrity: Seersite does not guarantee uninterrupted access or accuracy of content.
Unauthorized Alterations: Report any third-party alterations at [email protected].
6. Legal Compliance
Confidentiality:
Do not share confidential, proprietary, or material non-public information.
Prohibited Practices:
Avoid bribery, kickbacks, or other corrupt actions.
Obligations:
Comply with all laws, policies, and restrictions when using the Platform.
7. Privacy & Data Protection
Seersite's Privacy Policy governs data collection, use, and sharing. By using the Platform, you consent to these practices.
8. Consent
Verification: You consent to Seersite verifying your background and posted content.
Communication: You consent to being contacted via email, phone, or text for Platform-related matters.
9. Intellectual Property
Ownership: All content, logos, and trademarks are owned by Seersite.
Prohibited Use:
Do not scrape, harvest, or misuse Platform content.
Do not use content for unauthorized purposes, including training AI models, without written consent.
10. Termination
Seersite may terminate your access at any time, for any reason.
You can request account deletion at [email protected].
11. Deletion
Seersite may retain encrypted content to comply with legal obligations, even after account deletion.
12. Links & Shared Content
Seersite is not liable for third-party content or links shared on the Platform.
13. Indemnification
You agree to defend and indemnify Seersite against claims arising from misuse of the Platform.
14. No Warranties & Limitations of Liability
Disclaimer: Services are provided "as is" without guarantees of safety, security, or accuracy.
Liability Limit: Seersite’s liability is capped at $100 or the amount paid in the last 12 months.
15. Governing Law & Dispute Resolution
Jurisdiction: Delaware law governs this Agreement. Disputes are resolved in Delaware courts.
16. Changes to Agreement
Seersite reserves the right to modify the Agreement. Significant changes will be communicated through the Platform.
17. Enforceability
Invalid provisions will be amended or severed, with remaining terms remaining enforceable.
